Welcome to YieldX (the “Platform”), operated by YieldX Foundation, a registered or pending 501(c)(3) nonprofit organization (the “Organization,” “we,” “our,” or “us”). These Terms and Conditions (“Terms”) govern your use of our website, platform, services, and any associated applications (collectively, the “Services”).

By accessing or using the Services, you acknowledge that you have read, understood, and agreed to be legally bound by these Terms. If you do not agree, you must not use the Platform.

To use the Services, you must:

• Be at least 18 years old;
   
• Have legal capacity to enter into a binding agreement;
   
• Not be prohibited from using the Platform under applicable law, including sanctions, anti–money laundering (AML), or anti-terrorist financing restrictions.
   

YieldX is a philanthropic donation platform that allocates contributions to charitable initiatives while utilizing innovative financial mechanisms—including tokenized treasuries, digital assets, smart contracts, and yield strategies—to extend the impact of donations over time.

YieldX is not:

• A financial institution
   
• An investment advisor
   
• A broker-dealer
   
• A digital asset exchange
   
• A marketplace for speculative financial products
   

Nothing on the Platform constitutes financial, legal, investment, tax, or professional advice.

All contributions made through the Platform are classified as charitable donations, not investments.

By donating, you acknowledge and agree:

• Donations are non-refundable, except where required by law.
   
• You may be eligible for tax benefits depending on jurisdiction, and donors are solely responsible for complying with tax requirements.
   
• Donations are used according to YieldX’s charitable mission, including the portion allocated to “perpetual giving” structures.
   

Where applicable, donation receipts will be issued once payment is processed.

YieldX may deploy a portion of funds using approved treasury strategies designed to generate ongoing philanthropic value.

You acknowledge:

• Yield strategies involve operational and market risks.
   
• Yields are never guaranteed.
   
• Returns, strategies, or projections are illustrative only.
   

YieldX may, at its sole discretion:

• Change strategies
   
• Pause or discontinue strategies
   
• Reallocate funds for compliance, operational, or ethical reasons
   

YieldX may issue digital tokens, points, or recognition badges (the “Tokens”) to donors or community participants as part of engagement, transparency, or reward systems.

You agree that:

• Tokens are not financial instruments.
   
• Tokens do not represent ownership, equity, dividends, profit rights, or expectations of financial return.
   
• Tokens may not be redeemable for cash.
   
• Tokens have no intrinsic or market value unless explicitly stated.
   

Any future exchangeability or utility is discretionary and not guaranteed.

If the Platform interacts with blockchain networks:

• You are responsible for securing your wallet, keys, and access credentials.
   
• YieldX does not store or recover private keys.
   
• Transactions recorded on public blockchains may be irreversible.
   

You accept all blockchain-related risks, including gas fees, network failure, protocol risks, or smart contract vulnerabilities.

To comply with regulatory requirements, YieldX may request identity verification (KYC), source-of-funds checks, or AML screening.

Failure to comply may result in:

• Delayed processing
   
• Restricted usage
   
• Donation rejection or hold
   
• Account termination
   

You agree not to:

• Use the platform for fraud, money laundering, or illegal activity
   
• Attempt unauthorized access or interfere with platform operations
   
• Resell, sublicense, exploit, or misuse any component of the Platform
   
• Upload harmful code, bots, or automated scraping tools without permission
   

Violation may result in legal action, reporting to authorities, and removal.

All content—including branding, software, dashboards, smart contracts, documentation, and methodologies—is the property of YieldX Foundation unless otherwise stated.

Users may not:

• Copy, distribute, or reproduce content without written permission
   
• Reverse engineer, clone, or modify proprietary components
   

YieldX reserves the right, at any time and without notice, to modify, suspend, or discontinue any aspect of the Platform.

Use of the Platform is governed by the YieldX Privacy Policy. By using the Services, you consent to the collection and processing of data in accordance with applicable law.

The Platform is provided on an “as-is” and “as-available” basis.

YieldX makes no guarantees regarding:

• System availability
   
• Yield performance
   
• Exchange rates
   
• Continued access or support
   
• Losses relating to blockchain systems or digital wallets
   

To the fullest extent permitted by law, YieldX disclaims all warranties—explicit or implied.

To the maximum extent permitted by law, YieldX, its officers, advisors, affiliates, or partners shall not be liable for:

• Loss of data, tokens, funds, or donation value
   
• Blockchain failures or third-party platform risks
   
• Indirect, incidental, or consequential damages
   

Your sole remedy for dissatisfaction is discontinuing use of the Platform.

You agree to indemnify and hold harmless YieldX from claims arising out of:

• Your use of the Platform
   
• Violation of these Terms
   
• Breach of laws, including AML, sanctions, tax, or securities rules
   

These Terms shall be governed by the laws of the State of [INSERT], without regard to conflict-of-law principles.

Disputes shall be resolved via binding arbitration in [CITY/STATE], unless otherwise required by nonprofit regulatory bodies.
